Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Verifrs platform. By accessing or using our Service, you agree to be bound by these Terms.

Agreement and order of precedence

These Terms form an agreement between the organisation or person accepting them and the Verifrs contracting entity identified in an applicable signed document. If you use the service for an organisation, you accept on its behalf.

  • A signed order form, design-partner agreement or enterprise agreement controls over conflicting public terms for its subject matter.
  • The Privacy Policy, applicable data-processing terms and referenced policies are incorporated only to the extent relevant to the service used.

Eligibility and authority

The service is intended for business and professional use by individuals legally able and authorised to enter the agreement.

  • You must be at least 18 years old and have authority to bind the organisation whose workspace you access.
  • You must provide accurate registration information and promptly update material changes to authority or contact details.

Service scope and product maturity

Verifrs provides a governed workspace for IFRS conversion, review controls, calculations, evidence and reporting support. Features may be identified as validated core, beta, preview or Labs.

  • Beta, preview and Labs capabilities may change, contain defects, have limited support or be withdrawn during evaluation.
  • Documentation and in-product maturity labels form part of the reasonable-use context for each capability.

The service is audit-supporting software. It does not issue an audit opinion, provide legal advice, certify IFRS compliance or guarantee regulatory filing acceptance.

Accounts, organisations and access

Users are responsible for protecting credentials, using approved authentication methods and acting only within authorised organisation roles.

  • Account sharing, access circumvention and use of another organisation’s workspace are prohibited.
  • Administrators are responsible for membership, role assignments, reviewer independence and timely removal of former personnel.

Customer data and confidentiality

As between the parties, the customer retains rights in uploaded data. The customer grants Verifrs a limited right to host, process, transmit and display that data solely to provide and secure the service.

  • The customer represents that it has lawful authority, notices and permissions needed for uploaded information and user access.
  • Each party must protect the other’s non-public business, technical and financial information using reasonable care and permitted-use restrictions.

Acceptable use

The service may be used only for lawful, authorised professional purposes and within documented technical limits.

  • Do not probe security, introduce malicious code, overload services, scrape at scale, reverse engineer restricted components or bypass quotas and controls.
  • Do not upload unlawful content, credentials, unnecessary sensitive personal data or information that infringes third-party rights.

Professional responsibility and AI outputs

The customer is responsible for source-data quality, accounting policies, assumptions, materiality, professional review and approval of every external output.

  • AI suggestions, confidence values, narratives and classifications may be incomplete or incorrect and must be independently reviewed.
  • Qualified preparers and reviewers must validate calculations, disclosures, tagged exports and the suitability of evidence before use.

No platform result should be treated as a substitute for professional accounting, audit, tax or legal judgement.

Third-party services and availability

The service depends on infrastructure, authentication, communications and model providers. Their availability, changes and terms may affect specific functions.

  • Verifrs may maintain, update or suspend components to protect security, comply with law or preserve service integrity.
  • Unless a signed order states a service level, no specific uptime, recovery time or uninterrupted availability commitment is made.

Pilots, fees and taxes

Public access is currently pilot-led. Fees, credits, usage limits, invoicing, taxes, renewal and cancellation terms must be stated in a signed order before charges apply.

  • Customers must pay undisputed invoices under the applicable order and remain responsible for taxes not imposed on Verifrs income.
  • Non-payment or use outside agreed scope may result in restricted access after appropriate notice where practicable.

The public website does not create a self-service paid subscription or override negotiated design-partner terms.

Intellectual property and feedback

Verifrs and its licensors retain rights in the service, software, documentation, models, designs and derived platform technology. No rights are granted except the limited access right in the agreement.

  • Customer data, customer trademarks and customer-specific approved reports remain customer property, subject to third-party rights.
  • Feedback may be used without restriction or payment provided it does not identify the customer or disclose customer confidential information.

Suspension, termination and data return

Either party may terminate as allowed by an applicable order or for material breach that remains uncured after required notice. Verifrs may suspend access to address security, unlawful use or material risk.

  • Before termination, customers should export records needed for accounting, audit and legal retention.
  • After termination, access ends and customer content is handled under the Privacy Policy and applicable data-processing or order terms.

Warranties and disclaimers

Each party warrants it has authority to enter the agreement. Except for express commitments in a signed order, the service is provided on an as-available basis to the maximum extent permitted by law.

  • Verifrs does not warrant that suggestions are correct, every IFRS requirement is satisfied or outputs will be accepted by auditors, regulators or filing systems.
  • Mandatory statutory rights and warranties that cannot lawfully be excluded remain unaffected.

Allocation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or loss of profit, revenue, goodwill or anticipated savings, arising from the service.

  • Any aggregate liability cap, exclusions and carve-outs for confidentiality, data protection, fraud or intellectual-property claims should be stated in the applicable signed agreement.
  • Nothing excludes liability that cannot legally be excluded or limited under applicable law.

Because the contracting entity and deployment jurisdiction may differ, obtain legal review and an executed order before production use.

Changes, notices and governing terms

Verifrs may update these public Terms for future use. Material changes will be dated and communicated where required; continued use after the effective date constitutes acceptance only where legally valid.

  • Formal notices should use the addresses in the applicable order. Neither party may assign a negotiated agreement except as it permits or in connection with an approved corporate transaction.
  • If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. The agreement does not create a partnership, agency or employment relationship.

Governing law, forum, language priority and dispute process must be specified in the signed order or other applicable contracting document; mandatory law continues to apply.
